General Terms and Conditions of Sale for Products
NOLLEK ENTERPRISE LLC
1. Introduction
These General Terms and Conditions of Sale for Products (“Sales Terms”) govern the sale of products (“Products”) by NOLLEK Enterprise LLC(“NOLLEK”) to any purchaser (“Customer”).
NOLLEK’s offer to sell Products, and any acknowledgment or acceptance of a purchase order, release, or other Customer document (“Order”), is expressly conditioned upon Customer’s acceptance of these Sales Terms. Any terms or conditions contained in Customer’s Order that differ from, conflict with, or add to these Sales Terms—other than identification and quantity of Products—are expressly rejected unless specifically agreed to in writing by NOLLEK.
2. Pricing, Payment, Freight, Shipping, and Returns
Product prices are those in effect at the time an Order is processed through NOLLEK’s applicable price lists, quotations, or electronic ordering systems. For Orders with future-dated shipments, pricing in effect on the shipment date shall apply.
Unless otherwise stated in writing, payment terms are net thirty (30) days from the invoice date. Customer may not withhold payment, deduct amounts, or apply set-offs without NOLLEK’s prior written consent. NOLLEK reserves the right to require prepayment or modify credit terms at its sole discretion.
Orders must meet stated minimum quantities. Products are shipped in accordance with the Incoterms® or freight terms stated on the order acknowledgment or invoice, or, if none are stated, F.O.B. point of shipment. Title and risk of loss pass to Customer upon delivery of Products to the carrier.
If freight is prepaid by NOLLEK, carrier selection and routing are at NOLLEK’s discretion. Any special shipping or routing requested by Customer will be subject to additional charges. Lead times are estimates only. NOLLEK may allocate Products or place Orders on backorder at its discretion and shall not be liable for delays or failure to deliver by a specific date.
Returns are accepted only with prior written authorization and in accordance with NOLLEK’s return goods policy.
3. Order Cancellation and Returns Policy
Order cancellations must be submitted in writing and require prior written consent from NOLLEK. Upon approval, Customer agrees to compensate NOLLEK for all costs incurred as a result of the cancellation, including but not limited to material procurement, labor, and administrative processing.
A minimum cancellation charge of thirty percent (30%) of the total purchase price shall apply to all approved cancellations, regardless of production or fulfillment status at the time of cancellation.
Returns are accepted only with prior written authorization and must comply with NOLLEK’s return goods policy. Returned Products must be unused, in original condition, and properly packaged. Return shipping costs and restocking fees may apply.
Custom, made-to-order, or non-standard Products are non-returnable, unless defective or expressly agreed to in writing. NOLLEK reserves the right to refuse any unauthorized or non-compliant returns.
4. Compliance with Laws and Ethics
NOLLEK manufactures and sells Products in compliance with applicable federal, state, and local laws and regulations. Customer is responsible for compliance with all applicable laws relating to the handling, transportation, storage, use, processing, disposal, distribution, resale, or export of Products.
Neither party shall offer, promise, authorize, or provide anything of value in violation of any applicable anti-bribery, anti-corruption, or anti-kickback laws.
5. Product Information, Selection, and Use
Product information, technical data, specifications, and recommendations (“Product Information”) may be provided by NOLLEK for convenience only and are subject to change without notice. NOLLEK does not guarantee the accuracy or completeness of such information.
No license or right under any intellectual property of NOLLEK or any third party is granted or implied. Customer is solely responsible for determining the suitability of Products for its intended use. Products are not manufactured to Customer specifications unless expressly agreed to in writing. Products sold for Customer use may not be repackaged, resold, or redistributed without NOLLEK’s prior written consent.
6. Industrial and Occupational Use
Products are intended for industrial and occupational use by trained personnel unless expressly stated otherwise. Products are not designed or labeled for consumer use. Customers who sell or promote Products outside industrial channels or to consumers assume all responsibility for compliance, labeling, safety, and any resulting claims or damages.
7. Warranty, Disclaimer, and Limited Remedy
Unless otherwise stated in writing, NOLLEK warrants that Products will conform to applicable specifications at the time of shipment.
NO OTHER WARRANTIES ARE PROVIDED, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Customer must notify NOLLEK of any non-conforming Product within thirty (30) days of receipt. NOLLEK’s sole obligation and Customer’s exclusive remedy shall be, at NOLLEK’s option, repair, replacement, or refund of the purchase price. This warranty does not apply to Products that have been modified, misused, damaged, or improperly stored.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOLLEK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE PRODUCTS OR THESE SALES TERMS, REGARDLESS OF THE THEORY OF LIABILITY.
9. Export Control
Products are intended for use within the United States unless otherwise authorized in writing. Customer is responsible for compliance with all applicable export control, customs, and sanctions laws.
10. Taxes and Duties
Prices do not include sales, use, excise, value-added, or similar taxes, tariffs, or duties. Such charges shall be itemized on the invoice where applicable. Customer shall provide valid exemption certificates when claiming tax exemption.
11. Effect of Other Agreements
If specific terms are agreed to in a separate written agreement executed by NOLLEK and Customer, those terms shall govern in the event of a conflict with these Sales Terms.
12. Governing Law and Dispute Resolution
These Sales Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising under these Sales Terms shall be resolved through good-faith negotiation, and if necessary, mediation or litigation in Snohomish County, Washington.
13. U.S. Government Contracts
For Orders related to U.S. Government contracts, applicable Federal Acquisition Regulation (FAR) or agency clauses are incorporated by reference as required by law. All other government contract provisions are expressly rejected unless agreed to in writing.
14. Changes to Terms
NOLLEK reserves the right to modify these Sales Terms at any time without prior notice. The version in effect at the time of Order acceptance shall apply.
